Part A

1Who we are

1.1“ExioCraftz” is a business run by Krish Grover and Aagam Jain as partners, based in Dehradun, Uttarakhand, India. In these terms, “ExioCraftz”, “we”, “us” and “our” mean the two of them carrying on business under that name.

1.2ExioCraftz is not yet registered as a company or a limited liability partnership. If we register one, clause 46.4 lets us move your contract to it with notice. Your rights under these terms will not reduce because of the move.

1.3You can reach us by email at contact@exiocraftz.com, by phone or WhatsApp on +91 98021 25000 and +91 95480 02405, or on Instagram at @exiocraftz. Our working hours are Monday to Saturday, 10 am to 7 pm IST, except public holidays.

1.4Proposals, invoices and receipts are issued in the name of ExioCraftz, with the names of the partners. Only pay to the bank account or payment link shown on our official invoice (see clause 17.4).

“Including” means “including without limitation”. Headings are only there to help you find things.

3How these terms apply

3.1These terms apply to every quote, Proposal, project and Service we provide.

3.2You accept them when you sign or e-sign a Proposal, confirm by email or WhatsApp, tick an acceptance box, or pay any invoice. A contract made electronically is valid under section 10A of the Information Technology Act, 2000.

3.3If you accept on behalf of a business, you confirm that you are at least 18 and allowed to bind it.

3.4If documents conflict, they apply in this order: (1) a Proposal accepted by both of us, only for that project and only where it says it changes a clause; (2) the data processing terms in section V, for personal data; (3) the Plans table in section I, for what a Plan includes; (4) these terms.

3.5We may update these terms. The version on this page on the day you accept a Proposal applies to that project. For ongoing services, we will email you at least 30 days before a material change. If you do not agree, you can cancel before it takes effect and we will refund prepaid fees for the unused period.

4What we do, and what we don’t

4.1We build websites and web apps; Android and iOS apps, including store publishing; delivery systems (ordering, order management, rider apps, live tracking and admin dashboards); waiting-list and queue systems; dashboards and custom software; UI/UX and brand design; SEO and analytics set-up; and hosting, maintenance and support.

4.2The scope of each project is what is written in the Proposal and Plan. Anything not written there is not included.

4.3We build and look after software for your business. We do not run your business. We are not a party to anything between you and your End Users. We do not sell or deliver your goods, employ your staff or riders, set your prices, or give legal, tax or financial advice.

Part B

5Quotes and proposals

5.1Quotes are valid for 15 days unless they say otherwise.

5.2Estimates are based on what you tell us. If the requirements turn out to be different, we will send a revised quote before doing the extra work.

5.3For complex projects we may suggest a paid discovery phase (requirements, wireframes and a technical plan). Once paid for, what it produces is yours. If you go ahead with the build within 30 days, half the discovery fee is taken off the build price.

5.4A project starts once you have accepted the Proposal, paid the First Month Fee, and sent us the starting materials listed in the Proposal. Timelines run from the latest of these.

6Scope and changes

6.1The Proposal fixes the scope. Any Change Request is outside it.

6.2Send Change Requests in writing. We will reply with what they do to cost and timeline. Work starts once you approve in writing (email or WhatsApp is fine) and pay any advance needed.

6.3Small changes adding up to under one hour a month may be done free, at our discretion. Other changes are charged as quoted, or at the hourly rate in your Proposal.

6.4Approved changes may move delivery dates. We may decline a change that is unsafe, unlawful or against an app-store or platform policy.

7What we need from you

7.1To deliver well and on time, you agree to:

  • give us accurate information, Client Materials and access on time;
  • name one person who makes decisions for your side;
  • send combined feedback within 5 Business Days of each review request;
  • set up and pay for the accounts and Third-Party Services the project needs (clause 23);
  • make sure your Client Materials are lawful and that you have the right to use them, including images, fonts, music, trademarks and customer data;
  • hold the licences your business needs, such as GST, FSSAI for food businesses, drug licences for pharmacies, and trade or shop registrations;
  • have accurate terms, a privacy policy and a refund policy for your own End Users;
  • keep your logins safe and turn on two-factor authentication where it is offered; and
  • test the Deliverables properly during acceptance.

7.2We rely on what you give us. We are not responsible for delays, mistakes or losses caused by information, content or instructions from you that are wrong, late or unlawful.

8Timelines and delays

8.1Timelines in a Proposal are good-faith estimates, unless the Proposal says a date is fixed.

8.2Dates move day for day for delays caused by you, by Third-Party Services (including app-store reviews) or by approved Change Requests.

8.3If we wait 15 days in a row after a reminder for a reply, content, approval, access or payment, we may pause the project. If a pause lasts over 30 days, restarting may need a new schedule and a restart fee of 10% of the remaining project value.

8.4If a project stays paused for 60 days in a row, we may treat it as cancelled by you under clause 43.2, invoice the work done and close it.

9Design, revisions and approvals

9.1Each Plan includes the revision rounds shown in section I. A round is one combined list of changes to a stage, sent together.

9.2Revisions refine the agreed direction. New features or a new design direction are Change Requests.

9.3Once you approve a stage, later changes to it are Change Requests. Unused rounds don’t carry over and are not refundable.

10Testing and acceptance

10.1Before Go-Live we give you a staging link, a test build (TestFlight or Google Play internal testing) or a demo.

10.2You have 7 days (the Acceptance Period) to test it and report Defects in writing. We fix reported Defects within a reasonable time, and the Acceptance Period restarts only for what we fixed.

10.3A Deliverable is accepted when you confirm it in writing, when the Acceptance Period ends without a written Defect report, or when you or your End Users start using it live.

10.4Small issues that don’t stop it working, such as cosmetic issues or text changes, don’t hold up acceptance. We fix them under clause 12.

11Go-live and handover

11.1How each Deliverable is delivered is set out in our delivery policy (section III).

11.2We deploy, submit to app stores and hand over access once the First Month Fee has been paid in full and no Monthly Fee is overdue.

11.3When we hand over an Owned Deliverable, you get admin access, logins for accounts in your name, a short user guide, the source code and design files (clause 35), and a list of the Third-Party Services used with their renewal dates.

11.4For a Hosted System, you get admin access to your account on it. Its source code stays with us unless you buy it (clause 36.6).

12Bug fixes

12.1During the first month after acceptance, and after that for as long as your Monthly Fee is paid, we fix Defects in our work free of charge.

12.2This doesn’t cover new features or content updates; problems caused by changes made by you or other developers; problems caused by Third-Party Services, devices, browsers, operating-system updates or app-store policy changes; misuse or weak passwords; or mistakes in data entered by you or your End Users.

12.3If we can’t fix a Defect after reasonable attempts, we refund the fees paid for the part that doesn’t work.

13Support and maintenance

13.1Support channels and response times for each Plan are in section I. Response time means how long we take to acknowledge an issue and start on it, not to resolve it.

13.2Support runs during working hours on Business Days. On Pro we make reasonable efforts to respond outside working hours when the live product is down or payments are failing.

13.3Maintenance is included in your Monthly Fee. It covers security and library updates, operating-system and store-compliance updates, keeping the product working with browsers and Third-Party Services, and minor changes. Larger work is quoted separately.

13.4Software needs looking after. Browser and phone updates, API changes and new store rules can break things over time. That is why maintenance runs only while the Monthly Fee is paid. If it isn’t, clause 22.6 applies.

Part C

14Fees and plans

14.1Fees are as stated in your Proposal. What each Plan includes is set out in section I, which is part of these terms.

14.2Prices for clients in India are in Indian Rupees. Clients outside India may be quoted in US dollars or another currency named in the Proposal.

14.3Third-party costs are not included unless the Proposal says so. These include domains, hosting, app-store fees, paid plugins, API usage, SMS and WhatsApp credits, stock images and fonts. You pay them directly, or we bill them to you at cost.

14.4We may change our prices. A change does not affect a Proposal you have already accepted. For the Monthly Fee, we give at least 30 days’ notice before a new price applies.

14.5Travel and on-site visits are charged only if you approve them first.

15How payment works

15.1First Month Fee. Before we start work, you pay the First Month Fee (X) in full. It covers discovery, design, build, testing, launch and the first month of hosting and support. For large projects, the Proposal may split X into milestones instead.

15.2Monthly Fee. One month after work starts, and every month after that, you pay a Monthly Fee of 50% of X, in advance at the start of each month. For example, if X is ₹40,000, the Monthly Fee is ₹20,000. It covers the ongoing work on your project, hosting management where we host, maintenance, security and software updates, bug fixes, backups where we host, support under your Plan, and the licence for any Hosted System. It continues until you cancel under clause 18.2.

15.3Invoices are due within 7 days of the invoice date. The Monthly Fee is due on its billing date.

16Invoices and tax

16.1ExioCraftz is not registered for GST at present, so we do not charge GST, and our invoices say so. If we register, we will tell you, and GST will apply from that date at the applicable rate.

16.2Please give us your correct billing name and address, and your GSTIN if you have one, before we invoice.

16.3If income-tax law requires you to deduct tax at source (TDS), you may. You must deposit it on time and send us the certificate. If we don’t receive it, you pay us the amount deducted.

16.4For clients outside India, bank charges and taxes in your country are yours to pay and must not be taken off the invoiced amount.

17Ways to pay

17.1We accept bank transfer (NEFT, RTGS or IMPS) and UPI, and online payment gateways such as Razorpay or PayPal where we offer them on the invoice.

17.2Gateway payments are processed by the gateway under its own terms. We never collect or store your card number, CVV, UPI PIN or banking password.

17.3A payment counts once the full amount reaches our account. Gateway, bank and currency-conversion charges are yours. A failed or reversed payment counts as unpaid. Please talk to us before raising a chargeback; if you raise one for an amount properly due, you will repay the dispute fee we are charged.

17.4A warning about fraud. Only pay to the bank account or payment link on our official invoice. We will never ask you to change bank details by WhatsApp message alone. If you get a message like that, call us on one of the numbers in clause 1.3 first.

18The monthly fee

18.1The Monthly Fee is billed on the same date each month and continues until you cancel.

18.2To cancel, email contact@exiocraftz.com at least 7 days before the next billing date. Service continues until the end of the month you have paid for. Fees already charged for that month are not refunded, except as the refund policy says.

19Late payment

19.1If an amount isn’t paid when due, we send a written reminder giving you 7 days to pay. If it is still unpaid after that, we may pause work, hold back Go-Live, store submission and handover, and suspend services we host or manage until it is paid.

19.2Overdue amounts carry simple interest at 1.5% per month from the due date.

19.3Suspension doesn’t cancel what is owed. Restarting a suspended service may involve a reactivation fee, which we will tell you before you agree to it. You will repay the reasonable cost of recovering overdue amounts, as far as the law allows.

20Refunds and cancellations

The full refund policy is in section II and is part of these terms. In short:

  • Within 48 hours of paying the First Month Fee, and before work starts: full refund, less any gateway charges the gateway does not return to us.
  • After work starts, before Go-Live: we keep a booking and planning fee of 10% of X, plus the value of work done and third-party costs. The rest of X is refunded.
  • Not refundable: X once the work has gone live, approved work, delivered Change Requests, third-party costs and months of the Monthly Fee that have already started.
  • Approved refunds are paid within 5 to 10 Business Days to the original payment method.

Nothing here removes a refund right you have by law that can’t be excluded.

22If you stop paying

22.1For services we host or manage, if an invoice is still unpaid 15 days after its due date despite a reminder, we may suspend the service, after giving you at least 7 days’ notice.

22.2If dues remain unpaid 30 days after suspension, we may end the service. For a Hosted System, your licence then ends under clause 36.4.

22.3Owned Deliverables become yours only once X is paid in full (clause 35.1). Until then they remain ours, and you may not use them live.

22.4We will never hold your customers’ data hostage. If you ask, we will export the End-User Data we hold, even while fees are unpaid, so that you can meet your duties to your End Users. We may charge for the work involved.

22.5We keep a suspended service and its data for 30 days after it ends, so that you can pay and restore it. We send a final notice at least 7 days before deleting it.

22.6If the Monthly Fee isn’t paid, we are not responsible. If you cancel the Monthly Fee, or it remains unpaid after the reminder in clause 19.1, our maintenance, updates, backups, security monitoring and support stop on that date. From then on, we are not responsible for anything that happens to your website, app or system. That includes downtime, errors, features that break after browser, phone or third-party changes, hacking or malware, data loss, expired domains or accounts, and removal from app stores.

22.7Restarting the Monthly Fee after a gap may involve a reactivation fee and a paid health check of the product. Where we host an Owned Deliverable you have paid for in full, we will give you 7 days’ notice before we stop hosting it and, once dues are clear, hand over its files so you can host it yourself.

Part D

23Domains, hosting and accounts

23.1The accounts your business depends on are registered in your name wherever possible, with us added as a user.

AccountIn whose nameWho paysAt handover

23.2Renewals of accounts in your name are your responsibility. For accounts we manage for you, we remind you 30 days before they expire and renew only once the renewal is paid.

23.3Share logins only through the secure method we give you, such as a password-manager share, never in plain chat. When the project ends, change your passwords and remove our access once it is no longer needed.

24App Store and Google Play

24.1Apps are published under your developer accounts, with you as the developer of record. Your store listing, privacy-policy link, support contact, content rating and pricing are your responsibility.

24.2Apple and Google review every app and update, and may reject, delay or remove it. We can’t promise approval times. We will make reasonable efforts to fix rejections caused by our work. Changes needed because of your business model, content or new store rules are Change Requests.

25Third-party services and open source

25.1Deliverables often depend on Third-Party Services. Their own terms, prices and availability apply.

25.2We are not responsible for their outages, errors, price or policy changes, account suspensions or shutdowns. Adapting to those changes is chargeable work.

25.3Usage-based costs (maps, SMS, WhatsApp, cloud usage and AI tokens) are billed to you by the provider. We help you set budgets and alerts.

26Hosting and backups

26.1We host a product only where the Proposal says so, and always for Hosted Systems. If you host it yourself, uptime, server security and backups are down to you and your provider, unless our maintenance covers them.

26.2Where we host, we use reputable providers and aim for the uptime shown in section I, on a best-effort basis. Our target can never be higher than the provider’s own service level. It excludes planned maintenance, provider outages, attacks beyond reasonable control and problems caused by you.

26.3Where we host, we keep backups at the frequency shown for your Plan for up to 30 days. We will make reasonable efforts to restore from the latest backup, but can’t promise that no data is ever lost.

27SEO

27.1We use search-engine-approved methods: technical SEO, metadata, structured data, sitemaps and page speed, as included in your Plan.

27.2We don’t guarantee rankings, traffic, leads or sales. Search engines decide rankings with algorithms nobody outside them controls.

27.3We never use “black-hat” methods such as link schemes, cloaking or keyword stuffing. Ongoing SEO, content writing and ad management are separate services, and you pay ad spend directly.

28Delivery systems

28.1We provide the software only. We are not a courier, marketplace or aggregator, we employ no riders, and we are not a party to any order or delivery.

28.2You are responsible for your goods and their quality, safety, pricing, taxes and licences (such as FSSAI); for your riders, including checking them, their insurance, road safety, pay and any labour or social-security duties; for orders, cancellations, refunds, failed deliveries and complaints; for age-restricted items; and for the e-commerce rules that apply to you.

28.3Live tracking relies on phone GPS and map services, which can be wrong or delayed. Arrival times are estimates. You must tell riders and customers what location data is collected and why, get the permissions Android and iOS require, and only collect location while a delivery is active.

28.4Don’t use countdown timers or delivery promises in ways that push riders to drive unsafely. We are not liable for losses from orders, goods, rider conduct or road accidents; clause 41.1 applies.

29Waiting-list and queue systems

29.1Queue positions and waiting times are estimates. You decide how guests are served, and you are responsible for any promise you make to them.

29.2SMS, WhatsApp, email and push notifications depend on telecom operators, Meta, Apple, Google and each guest’s phone. We can’t promise a message arrives on time or gets seen. Don’t rely on notifications alone where a missed turn could cause harm, such as in a clinic.

29.3Use guests’ numbers and emails for queue updates only, unless they separately agree to marketing. We recommend deleting them automatically after 30 days, and can set that up.

Part E

30Acceptable use

30.1You must not use our Services or the Deliverables for anything unlawful or harmful, or for anything listed in our acceptable use policy (section IV).

30.2We may refuse, pause or stop a project, or disable content we host, if we reasonably believe it breaks section IV or the law. Where we can, we tell you first and give you a chance to fix it. Work already done is still payable; unused prepaid amounts are refunded unless we stopped because of a serious breach by you.

30.3You are responsible for harmful use of the Deliverables by you or your End Users, and for having and enforcing your own terms for End Users.

31Security

31.1What we do: HTTPS on everything we build and host; encryption at rest where the provider supports it; strong passwords and two-factor authentication on our accounts; access only for people who need it; logins shared through password managers; secure coding (input checks, no secrets in front-end code, up-to-date libraries); and telling you quickly about any security incident.

31.2What you do: protect your accounts and devices; turn on two-factor authentication; remove former staff promptly; apply the updates we recommend; keep your own copies of important data; and tell us at once if you think someone has got in.

31.3No system is completely secure. We follow reasonable security practices but can’t promise freedom from hacking, malware, vulnerabilities or downtime. We are not responsible for incidents caused by your accounts, devices or staff, by Third-Party Services, or by updates you declined.

31.4Security audits, penetration testing and certifications are not included unless the Proposal says so. Pro includes a basic automated vulnerability scan before launch.

32Personal data

32.1Our Privacy Policy explains how we handle the personal data of our clients, enquirers and website visitors.

32.2For End-User Data, you are the Data Fiduciary (the “controller”) and we are your Data Processor. We process it only on your instructions and under the data processing terms in section V.

32.3You are responsible for having consent or another lawful basis to collect End-User Data; giving End Users your own privacy notice in your app, on your site and in store listings; answering their requests for access, correction and deletion; and meeting your duties under the Digital Personal Data Protection Act, 2023 and its Rules.

32.4Consent screens, account-deletion flows and data exports are included where your Plan says so, and are otherwise charged.

33Confidentiality

33.1We each keep the other’s confidential information private, use it only for the project, and share it only with people who need it and are bound to keep it confidential.

33.2Confidential information includes business plans, unreleased ideas, source code, logins, API keys, pricing, customer lists, End-User Data and anything marked or reasonably understood as confidential.

33.3It doesn’t cover information that is public through no fault of ours or yours, that one of us already knew or worked out independently, or that one of us received lawfully from someone else. Disclosure required by law, a court or a regulator is allowed; where lawful, the other side is told first.

33.4These duties last while we work together and for 3 years after. For source code, logins, End-User Data and trade secrets, they last for as long as the information stays confidential.

33.5If you would like, we will sign a separate NDA before we discuss your project. It applies alongside this clause.

Part F

Who owns the work depends on what it is. Websites, apps and designs made for you become yours once X is paid. Systems we host and run for you stay ours and are licensed to you while you pay the Monthly Fee, with an option to buy them outright.

What we buildWho owns itWhat you get
Websites, apps, designs, logosYou, once X is paidFull ownership, with source code and design files
Delivery, waiting-list and other Hosted SystemsExioCraftzA licence while the Monthly Fee is paid, and an optional buy-out
Our reusable code and toolsExioCraftzA permanent right to use it inside what you own
Your content, brand, domain and customer dataYou, always—

34Your materials

34.1You keep ownership of your Client Materials, brand, trademarks, content and data, including End-User Data.

34.2You give us a non-exclusive, royalty-free licence to use Client Materials only to provide the Services, including hosting, testing and support.

34.3You confirm that you have the rights needed for the Client Materials, and that they don’t infringe anyone’s rights or break the law.

35Websites, apps and designs: yours once paid

35.1Once you have paid X in full for an Owned Deliverable, we assign to you all copyright and other intellectual-property rights in the custom work we created for it. Background IP and third-party components are licensed to you instead (clause 37).

35.2To meet section 19 of the Copyright Act, 1957, the assignment is worldwide; lasts for the full term of copyright; covers all media and formats, now known or invented later; covers all rights, including to copy, adapt, change, distribute and use commercially; and doesn’t lapse if you don’t use the rights within a year. This clause, the invoice and its receipt together form the written assignment. If you ask, we will also sign a short deed of assignment.

35.3Until X is paid in full, the work remains ours and you may only use it to review and test. We hand over source code and design files within 3 Business Days of full payment.

35.4After that you may change the work yourself or with another developer. Our bug-fix promise (clause 12) then ends for any part someone else changed. As far as the law allows, we won’t use our moral rights under section 57 of the Copyright Act against reasonable changes you make.

35.5Both partners, and any freelancer who works on your project, assign their rights in the work to ExioCraftz in writing, so that we can pass it on to you.

36Hosted systems: licensed while you pay

36.1We own the Hosted Systems we build and run, including their designs, code and database structures. Your Client Materials and End-User Data stay yours.

36.2While your Monthly Fee is paid and nothing is overdue beyond the periods in clause 22, we give you a non-exclusive, non-transferable licence to use the Hosted System for your own business and to make it available to your End Users.

36.3You may not copy, resell or sublicense a Hosted System; have another developer rebuild it in a substantially similar way; or try to extract or reverse-engineer its code.

36.4The licence ends if you cancel the Monthly Fee, if dues stay unpaid as clause 22 describes, or if these terms end. Before ending it for non-payment, we give you written notice and a chance to pay. When it ends, we stop hosting it, export your content and End-User Data on request, and keep it for 30 days so you can restore it.

36.5If you, or anyone acting for you, keep using a copy of a Hosted System after the licence ends, you must pay a licence fee equal to one Monthly Fee for each month or part of a month of that use, until it stops. Paying it doesn’t give you a right to carry on; we may still require the use to stop and use our remedies under the Copyright Act, 1957.

36.6Buying it outright. You can buy full ownership of a Hosted System’s custom work at any time by paying the buy-out fee in your Proposal, plus anything then due. Clause 36.2 then applies to it, and we hand over the source code within 3 Business Days. After a buy-out, hosting and maintenance are available under a separate plan.

36.7We will never secretly disable software on your own servers. Our control comes only from hosting the Hosted System and from these terms.

37Our reusable code, and third-party parts

37.1We keep ownership of our Background IP. Where it is part of work you own, or a Hosted System you have bought, you get a non-exclusive, worldwide, royalty-free, permanent licence to use, change and maintain it as part of that work. You may not sell or license our Background IP on its own.

37.2Nothing stops us building similar products for other clients, as long as we don’t use your confidential information, Client Materials, brand or work you own.

37.3Third-party items such as open-source libraries, paid plugins, fonts, stock images and APIs stay owned by their makers and are licensed to you on their terms. Paid licences are bought in your name at your cost. If you ask, we list the main components used.

38Portfolio and credit

38.1Unless you tell us otherwise in writing, or we have signed an NDA, we may show your name, logo, screenshots and a description of the public work in our portfolio, on our website and social media, and in pitches, after Go-Live. We never disclose confidential information or End-User Data.

38.2You can ask us to take portfolio material down at any time; we remove it from channels we control within 15 days.

38.3We may put a small “Website by ExioCraftz” link in a website’s footer, which we remove free of charge if you ask. We don’t add credits inside apps without your approval.

38.4We only publish testimonials with your consent.

Part G

39What we promise, and what we don’t

39.1Each of us confirms we have the authority to accept these terms.

39.2We will do the work with reasonable skill and care, following generally accepted industry practice. When accepted, the Deliverables will materially match the agreed Proposal.

39.3Apart from what these terms say, the Services and Deliverables are provided “as is”. As far as the law allows, we give no other warranties, including fitness for a particular purpose, uninterrupted or error-free operation, or business results such as sales, rankings, downloads or app-store approval.

39.4Nothing in these terms removes rights you have by law that can’t be excluded, for example as a consumer.

40Limits on liability

40.1Our total liability arising from these terms or any project, whether in contract, negligence or otherwise, is limited to the fees you paid us for the project or Service behind the claim in the 12 months before the event that caused it.

40.2For a breach of our confidentiality or data-protection duties (clause 33 and section V), that limit is twice the amount in clause 40.1.

40.3Neither of us is liable for indirect or consequential losses, or for loss of profit, revenue, business, goodwill or data, except our duty to restore data from backups we keep.

40.4These limits don’t apply to your duty to pay fees, to fraud or deliberate wrongdoing, to your indemnity in clause 41.1, or to liability the law doesn’t allow to be limited.

40.5A party’s liability is reduced to the extent the other party caused or contributed to the loss.

40.6We have no liability for anything that happens to a Deliverable during a period when the Monthly Fee was cancelled or unpaid (clause 22.6).

41Indemnities

41.1You will cover ExioCraftz and its partners against third-party claims, penalties, losses and reasonable legal costs arising from your Client Materials or instructions; your business operations, including goods, deliveries, riders, orders, refunds, bookings and disputes with End Users; your breach of the law or of these terms; and misuse of the Deliverables by you or your End Users.

41.2We will cover you against third-party claims that the original code we wrote for you infringes their copyright. This doesn’t cover Background IP licensed from others, third-party components, Client Materials or changes made by others. We may change or replace the code, get a licence for it, or refund what you paid for it. This is subject to clause 40.

41.3Whoever claims under this clause must tell the other promptly, let them handle the defence and cooperate reasonably. Neither of us may settle a claim by admitting fault for the other without their consent.

42Events outside our control

42.1Neither of us is liable for delay or failure caused by events beyond reasonable control, such as natural disasters, epidemics, war, riots, government action, internet or power failures, major cloud outages, and cyber-attacks despite reasonable safeguards.

42.2Affected duties are suspended while the event lasts. If it lasts over 60 days, either of us may end the affected project by written notice, and you pay for the work done.

43Ending the agreement

43.1These terms apply from the moment you accept them until all projects and monthly services have ended.

43.2You may end a project for any reason with 15 days’ written notice. You pay for work completed up to the end date and any third-party costs that can’t be cancelled. The refund policy applies to any refund.

43.3Either of us may end these terms by written notice if the other seriously breaks them and doesn’t put it right within 15 days of being told, or stops doing business.

43.4We may also end them immediately if you seriously breach section IV, abuse or harass our team, or leave fees unpaid 30 days after suspension.

43.5When a project or these terms end: unpaid fees for work done become due; work you have paid for in full stays yours under clause 35; any Hosted System licence ends under clause 36.4; and we return your content and End-User Data, then delete our copies within 30 days. Help moving to another provider is available at our hourly rate.

43.6Clauses on payment, ownership, confidentiality, data protection, liability, indemnities and disputes continue after the agreement ends.

44Governing law and disputes

44.1These terms are governed by the laws of India.

44.2If a dispute comes up, whoever raises it tells the other in writing, and we both try in good faith to settle it within 30 days. We may also try mediation, including under the Mediation Act, 2023.

44.3A dispute not settled that way goes to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat is Dehradun, Uttarakhand, the language is English, and hearings may be held online. Disputes where the amount claimed is under ₹5,00,000 may instead go straight to the courts at Dehradun.

44.4Subject to clause 44.3, the courts at Dehradun have exclusive jurisdiction. Either of us may ask any competent court for urgent interim relief.

44.5Nothing here stops a consumer from going to a Consumer Commission under the Consumer Protection Act, 2019.

45Notices

45.1Day-to-day communication can be by email, WhatsApp or project tools. An approval sent by email or WhatsApp by your named contact counts as written approval.

45.2Formal notices (a breach, ending the agreement or a dispute) must be sent by email: to us at contact@exiocraftz.com, and to you at the email in the Proposal. A notice takes effect when sent during working hours on a Business Day, or at the start of the next one, unless it bounces.

46General

46.1Whole agreement. These terms, the Proposal and the sections below are the whole agreement for each project and replace earlier discussions about it.

46.2If part is invalid. The rest stays in force, and the invalid part is replaced by a valid one as close as possible to what it meant.

46.3No waiver. A delay in enforcing a right doesn’t mean giving it up.

46.4Transfer. You may not transfer your rights or duties under these terms without our written consent. We may transfer ours, with notice to you, to a company or limited liability partnership formed by the partners to carry on the ExioCraftz business. Your rights won’t reduce because of it.

46.5Electronic signatures. Proposals and these terms may be accepted or signed electronically.

46.6No third-party rights. No one other than you and us has rights under these terms.

47Complaints

If something has gone wrong, email contact@exiocraftz.com with “Complaint” in the subject, or call +91 98021 25000. We acknowledge complaints within 48 hours and aim to resolve them within 15 days.

Section V

VData processing terms

These apply whenever we process End-User Data for you.

V.1Roles. You are the Data Fiduciary (controller) and we are your Data Processor.

V.2What we process. Names, phone numbers, emails, addresses, delivery location data, order, booking and queue details, device identifiers, hashed passwords and payment status (never card data), to build, host, maintain and support the Deliverables. We avoid health or other sensitive data unless the Proposal expressly includes it, with extra safeguards.

V.3Instructions. We process End-User Data only on your documented instructions (the Proposal, these terms and your written requests), and tell you if an instruction looks unlawful.

V.4Confidentiality and security. Everyone who handles End-User Data is bound to keep it confidential. We apply the measures in clause 31 and the reasonable safeguards the DPDP Rules require.

V.5Sub-processors. You allow us to use the hosting, database, email, SMS, WhatsApp, maps and error-monitoring providers named in the Proposal. We tell you about changes and hold them to the same duties. Providers you contract with directly are your processors, not ours.

V.6Requests. We help you answer End Users’ requests for access, correction and deletion. Help beyond your Plan is charged at a reasonable rate.

V.7Breaches. We tell you without undue delay, and within 24 hours of becoming aware of a personal-data breach affecting End-User Data we handle, and help you meet your duties to inform End Users, the Data Protection Board of India and, where reportable, CERT-In.

V.8Return and deletion. When we stop working together, or if you ask, we return End-User Data in a common format (CSV, JSON or a database export) and delete our copies within 30 days, unless the law requires us to keep it. Backups are overwritten within 90 days.

V.9Location. For clients in India, we prefer hosting in an India region where the provider offers one. We only transfer data to countries the Government of India hasn’t restricted.

V.10Liability. Clause 41 applies, including the higher limit in clause 40.2.

Questions about these terms? Email contact@exiocraftz.com and one of us will reply within one business day. Effective 16 October 2026.
